These Terms of Use govern your use of the website at midwaysupplycompany.com, operated by Midway Supply Co., Inc.. By using this site, you agree to these terms. If you don’t agree, please don’t use the site.
Information, Not a Contract
The information on this site (product descriptions, brand listings, services, hours, and availability) is provided to help you plan a project or contact us. It does not constitute a binding offer or contract. Pricing, lead times, and availability are confirmed only by a written quote or order acknowledgement from a Midway team member.
Calculators and Estimates
The online calculators and the PDF estimate give you an approximate material takeoff based on the numbers you type in. They are planning tools. They do not account for every framing detail, waste factor, code requirement, or site condition. Check the results against your plans before you order. A calculator result is not a quote and not an offer to sell. Pricing, lead times, and availability come only from a written quote from a Midway team member. If you use “Send to Midway,” your numbers go to a rep who will work up a real quote.
Acceptable Use
You agree to use this site only for lawful purposes. You will not:
- Submit false information through any form, application, or quote request.
- Upload files that contain malware, infringe copyright, or violate any law.
- Attempt to disrupt, scrape, or gain unauthorized access to any part of the site.
- Use the site to harass any person or to send unsolicited bulk messages.
Intellectual Property
The Midway Supply name, logo, photography, and original content on this site are owned by Midway Supply Co., Inc. or used under license. Manufacturer brand names, logos, and product trademarks (MGM Industries, Sun Windows, Ply Gem, ProVia, Ace Hardware, etc.) are the property of their respective owners and are used for accurate identification under nominative fair use. You may share or print content for personal, non-commercial use; any other use requires written permission.
Linked Sites
This site links out to manufacturer websites and to mapping services (Google, Apple, Waze, OpenStreetMap). We do not control those sites and are not responsible for their content, accuracy, privacy practices, or terms. Your use of a linked site is governed by that site’s own terms.
Submissions
If you submit a contact, quote, or careers application through this site, you confirm that the information is accurate and that you have the right to submit any files attached. You grant Midway permission to use submitted information to respond to your request, deliver products and services, and operate our business in accordance with our Privacy Policy.
Portal Accounts & Your Documents
Customers and contractors we work with can hold a portal account for managing projects, quotes, and documents with us. Accounts are personal: one login per person, and you are responsible for keeping your password to yourself. If you believe someone else has used your login, tell us and we will reset it.
Asking for an account does not create one right away. New account requests may sit pending until a Midway rep reviews and approves them. We may decline a request.
When you sign in, we keep you signed in on that browser for up to 30 days unless you sign out. The Devices page in your account shows the browsers and devices that are signed in, and you can sign any of them out from there. Sign out on shared computers.
Documents you upload (plans, photos, specifications) stay yours. You give us permission to store them, review them, and use them to price and serve your projects. That is the whole point. With that permission, Midway staff may share an uploaded plan with a builder or vendor to get you a quote. Documents we share back to you (quotes, invoices, delivery records) are provided for your records. Pricing in a quote is an offer with the validity period stated on the quote itself, not a permanent commitment.
Uploads are limited to the file types the uploader accepts (PDF, DWG, DXF, PNG, JPG, JPEG, HEIC, DOC, DOCX, XLS, XLSX, CSV, TXT) and to the size shown on the form, which is 25 MB total per submission unless the form says otherwise. We may remove any file that is the wrong type, oversized, unreadable, contains malware, or that we have no business reason to keep.
We keep project documents while your account is active and for a commercially reasonable period afterward for record-keeping. Want something removed, a copy of what we hold, or your account deleted? Email Midway@midwaysupplycompany.com from the address on the account and we will take care of it. Records we have to keep by law stay until the law says otherwise.
We may suspend or close portal accounts that are misused (see Acceptable Use above). Closing your account does not cancel orders already placed or obligations either of us has already taken on.
Disclaimers
The site is provided “as is.” To the maximum extent permitted by law, Midway disclaims all warranties (express, implied, or statutory) including warranties of merchantability, fitness for a particular purpose, and non-infringement, in connection with your use of the website itself. This does not affect any warranty that comes with a product you purchase from Midway, which is governed by the manufacturer’s warranty and Midway’s sales terms.
Limitation of Liability
To the maximum extent permitted by law, Midway is not liable for indirect, incidental, special, consequential, or punitive damages arising out of your use of this website. Our total liability for any claim arising out of the website is limited to $100 (USD).
Indemnification
You agree to indemnify and hold Midway harmless from any claim arising out of your misuse of the site, your violation of these terms, or your infringement of any third party’s rights.
Governing Law
These terms are governed by the laws of the State of Tennessee, without regard to conflict-of-laws principles. Any dispute arising out of these terms or the website will be brought in the state or federal courts located in Cheatham County or Davidson County, Tennessee, and you consent to the jurisdiction of those courts.
Changes
We may update these terms from time to time. The “Last updated” date reflects the current version. Continued use of the site after a change means you accept the updated terms.
